Clio Completes $1B vLex Acquisition

Clio has closed its $1 billion acquisition of vLex, the largest legal technology M&A deal ever, and raised $500 million in Series G funding.

Clio, a legal business operations platform, announced on November 10, 2025, that it completed the acquisition of AI-powered legal research provider vLex for $1 billion. The deal coincides with a $500 million Series G funding round led by New Enterprise Associates (NEA), valuing Clio at $5 billion. The transaction combines Clio's practice management software with vLex's legal intelligence database and Vincent AI assistant.

This acquisition creates what Clio calls the "Intelligent Legal Work Platform," connecting legal research with firm operations through AI. The deal brings 350 vLex employees specializing in law, data, and technology into Clio's organization. The combined platform aims to serve law firms of all sizes, from small practices to global enterprises.

Financial Details

The Series G round included participation from current investors TCV, Goldman Sachs Asset Management, Sixth Street Growth, and JMI Equity. Clio's valuation jumped from $3 billion in July 2024 to $5 billion, representing $2 billion growth in just over a year.

Clio also secured a $350 million debt facility led by Blackstone and Blue Owl Capital. The total financing package of $850 million positions the company for additional acquisitions and AI development.

Technology Integration

The acquisition unites Clio's legal operating system with vLex's database of over one billion documents across 110 jurisdictions. Vincent AI will integrate with Clio's existing products: Clio Work, Clio Manage, Clio Grow, and Clio Draft.

Enterprise Expansion

The vLex acquisition accelerates Clio's entry into the enterprise market. This follows Clio's March 2025 acquisition of ShareDo, now rebranded as Clio Operate, which targets large firms and corporate legal departments.

Clio Operate launched in the United Kingdom and is now available in the United States and other international markets. The new Clio for Enterprise division will serve global legal teams using both vLex's research capabilities and Clio Operate's workflow management.

Investor Confidence

Oakley Capital, vLex's majority shareholder, accepted Clio stock as partial payment. Goldman Sachs advised Clio, while J.P. Morgan advised vLex on the transaction.
