Delaware Teams with Norm AI to Create First Legal Entity for AI Agents

Delaware has proposed a new corporate structure that would allow AI agents to manage companies independently, selecting Norm AI as its development partner in a regulatory sandbox program launching this summer. The initiative targets a growing class of autonomous systems capable of executing contracts, paying suppliers, and conducting transactions without human intervention, an emerging commercial reality that existing law has not directly addressed.

Delaware's move builds on years of precedent-setting corporate innovation. The state already hosts the majority of U.S. public company registrations. It has a track record of designing legal structures that anticipate commercial needs from the series LLC to the public benefit corporation. The AIC proposal marks its first attempt to accommodate an entity class whose operator is software rather than a person. The concept emerged from a 2023 essay in Science co-authored by Norm AI founder John Nay, who argued that nothing in state law clearly prohibits an AI agent from running a company, raising the question of what governance framework should follow.
