Ideals, Jurimesh Merge AI into M&A Due Diligence

Virtual data room provider Ideals has integrated with Belgian legal-tech firm Jurimesh to deliver AI-powered vendor readiness scans for mid-market M&A deals.

The integration addresses a longstanding gap in deal preparation: mid-market sellers have historically gone to market without the level of readiness that large-cap transactions demand, leading to longer negotiations and weaker deal outcomes.

Rising Diligence Costs

Buy-side scrutiny has increased sharply in recent years. The average M&A deal now spends 264 days in the data room, up from 205 days in 2020, with data rooms reporting record document volumes.

A Q4 2025 Mergermarket survey of senior US investment-banking executives found that 45% say a typical M&A deal now takes at least six months to complete. Additionally, 73% of respondents expect due diligence to become more complex over the next 12 to 24 months.

For sellers who arrive unprepared, the consequences are concrete. Longer question-and-answer cycles, stricter sale and purchase agreement terms, and weaker valuations are common outcomes.

The Preparation Gap

Vendor readiness refers to the internal preparation work a seller undertakes before launching a sale process. It involves scanning the data room for gaps, flagging risks, and resolving issues before buyers arrive. This is distinct from vendor due diligence, which is a formal independent report commissioned by the seller but relied upon by the buyer under a contractual duty.

Vendor readiness has been standard in large-cap transactions and has been moving down-market over time. However, traditional services typically cost tens of thousands of euros, making them difficult to justify on smaller deals. KPMG's 2025 M&A Deal Market Study found that completing due diligence ranks among the top three obstacles to closing deals, cited by 41% of respondents, alongside agreeing on valuation (44%) and navigating regulatory hurdles (41%).

How the Integration Works

The Ideals and Jurimesh integration connects directly to Ideals data rooms through a secure API. Once connected, Jurimesh runs a vendor readiness scan in 20 minutes. The system structures documents, flags gaps, and performs over 1,000 legal and commercial risk checks across the data room.

The result is a faster preparation cycle at a fraction of the cost of traditional vendor readiness services. Sellers and their advisors can review and address data room issues before buyers gain access.

Maksym Kunytsia, VP of Product Management at Ideals, explained the rationale behind the integration: "By integrating Jurimesh with our VDR, we're giving our customers seamless access to exciting new capabilities in legal review and risk management. It will empower dealmakers to complete their work with greater precision and speed."

Market Reach

The integration targets deals that have historically operated without structured sell-side preparation. By reducing both time and cost, it makes vendor readiness viable at smaller deal sizes where it was previously impractical.

The partnership was announced on May 5, 2026, from London and Ghent, Belgium.
