SimpleDocs launches Contract Intelligence Layer, combining market data, negotiation history, and legal positions in one platform.

Most legal AI tools address only one dimension of contract negotiation. SimpleDocs says its new platform is the first to bring all three together, giving lawyers structured, sourced evidence at every step of the review process. Legal teams routinely spend hours assembling negotiation context spread across multiple systems, documents, and colleagues. The platform automates that assembly within the existing review workflow.

Three Layers

The platform combines three distinct intelligence sources. The first, Market Standards, is powered by Law Insider and draws from millions of publicly available contracts sourced from regulatory filings, government repositories, court filings, and publicly hosted agreements. The dataset updates daily, and every data point links back to a verifiable, source-referenced public contract.

The second layer, Historical Negotiation Precedent, surfaces how an organization has resolved comparable clauses over time. It shows which clauses get negotiated most frequently, what fallback language the team has accepted in practice, and where concessions cluster by deal type, counterparty, or risk profile.

The third layer, Documented Negotiation Positions and Fallbacks, reflects what the organization has formally approved. It identifies primary positions, authorized fallbacks, escalation rules, and non-negotiable terms — showing whether a proposed clause aligns with existing authority or requires additional sign-off.

Real-World Use

SimpleDocs illustrates the platform with a concrete example: a counterparty proposes an uncapped indemnity in a SaaS agreement. Market Standards shows that uncapped indemnities appear in a minority of comparable public contracts for that agreement type. Historical Precedent then shows the organization accepted such indemnities twice in the last three years — both for strategic accounts above a specific deal threshold, and both with narrowly defined carve-outs.

Documented Positions complete the picture by confirming the approved fallback is a cap tied to twelve months of fees, with escalation required for anything beyond that. The lawyer reviewing that contract can act without emailing colleagues or making assertions they cannot back up.

Defensibility by Design

Founder Electra Japonas stated: "We think legal teams deserve tools that treat defensibility as a feature, not an afterthought." The platform grounds every recommendation in a concrete source: public market evidence, observed internal outcomes, or explicit documented authority.

This addresses a common gap in legal AI tools, which typically deliver conclusions — labeling a clause "non-standard" or "above market" — without disclosing the underlying basis. SimpleDocs says every output on its platform can be explained to a client, cited in a board memo, and defended before a regulator.

Data and Privacy

The Market Standards layer is built exclusively on public contract data. Customer contracts are not published, pooled, or used to train any public model. The two layers that draw on organizational data — Historical Precedent and Documented Positions — remain within each organization's own workflows only.
