Stella Legal Ltd and CSB, Strategic Business Solutions, LLC merged on April 22, 2026, forming a single legal technology company operating under the Stella Legal brand.

The merger brings together two organizations with more than 25 years of combined legal process experience. The unified company will offer legal departments a single operating model that connects workflow transformation, technology, and outside counsel management.

The Core Problem

Most legal departments manage their internal processes, technology systems, and outside law firms as separate, disconnected functions. This separation makes it difficult to measure performance, control costs, or scale operations efficiently.

Legal teams also struggle to move AI investments beyond early pilot programs. According to the company, most AI implementations stall before delivering measurable returns. Stella Legal says its model is built to solve exactly this gap between adoption and results.

The company operates across six solution areas under what it calls Performance Intelligence, an operating model that connects how a legal team works, the technology it uses, and the outside counsel it relies on into one system measured against defined outcomes.

The six areas are AI Enablement and Adoption Acceleration, Managed Services and Contracting Excellence, Legal Operations and Operational Excellence, M&A Advisory and Deal Intelligence, Discovery and Dispute Resolution, and Enterprise Data Services.

The contracting excellence practice works inside client systems to build pre-approved playbooks, structured templates and negotiation guides, that allow contracts to close faster without adding legal headcount. The discovery and dispute resolution practice covers litigation, arbitration, and investigation support from early case assessment through final resolution.

The enterprise data services division handles data hosting, migration, preservation, and hygiene, along with cybersecurity assessment and 24/7 threat monitoring. The company positions this as the infrastructure layer that supports all other services.

Leadership Structure

The unified company is led by four executives. Tyson Ballard serves as Chief Executive Officer, responsible for vision, growth, and market direction. Chris Toomey holds the role of Chief Operating Officer, overseeing performance and operational discipline. Bill McManus serves as both Chief Revenue Officer and Chief Legal Officer, leading commercial and customer growth. Matt Clarke is Chief Legal Engineer, responsible for technical execution across legal workflows.

The M&A Advisory and Deal Intelligence division is co-led by Richard Harroch and Lou Andreozzi, both described as Silicon Valley transaction veterans. Their division supports buyers and sellers across the full deal lifecycle, from due diligence to post-closing integration.

The Performance Model

The Performance Intelligence model targets three specific outcomes: lower legal spend, faster contract cycle times, and legal functions that scale without increasing headcount. These are the benchmarks the company uses to measure every client engagement.

In M&A work, the company embeds AI directly into the due diligence workflow. Contract portfolios are analyzed for meaning and context rather than scanned by keyword alone. The company says this approach surfaces risk faster and reduces blind spots in deal review.

On the litigation side, the company emphasizes that prepared legal teams consistently achieve faster outcomes at lower cost compared to teams that respond reactively. The Discovery and Dispute Resolution practice is built around defensible workflows, meaning documented and auditable processes that hold up to legal scrutiny.

The Legal Operations practice focuses on spend management, vendor optimization, and performance reporting. The goal is to make legal department value visible and measurable to the broader business.
