Haveli Investments Acquires Majority Stake in Sirion

Haveli Investments will make a majority investment in contract lifecycle management software provider Sirion in a deal valuing the company at approximately $1 billion. The Austin-based private equity firm has entered into a definitive agreement with the Utah-headquartered CLM vendor, with the transaction expected to close in Q1 2026 subject to regulatory clearances.

The acquisition marks a significant consolidation in the contract management software sector. Sirion manages over seven million contracts across more than 100 languages for hundreds of enterprises in over 70 countries, including Vodafone and Bank of New York Mellon.

The Deal

Haveli Investments will acquire a controlling stake of up to 90% in Sirion. The companies did not disclose the exact size of the stake in their official announcement.

The transaction provides Sirion with additional capital and operational support to accelerate product innovation and expand its global footprint. William Blair served as exclusive financial advisor to Sirion, while Moelis & Company LLC acted as financial advisor and Latham & Watkins LLP as legal advisor to Haveli Investments.

Growth Performance

Sirion has delivered 40% average annual revenue growth over the past five years and recently turned profitable. The company operates 10 offices across the United States, Canada, the United Kingdom, France, Germany, India, South Africa, and Singapore.

The platform has been named a Leader in the Gartner Magic Quadrant for Contract Lifecycle Management for four consecutive years. Sirion also ranked first in the 2025 Gartner Critical Capabilities report for CLM use cases for the third consecutive year.

AI Technology

Sirion's platform is built on agentOS, its AI-native operating system that deploys pre-built agents to handle contract operations. These include a Search Agent and Draft Agent that automate tasks such as searching and drafting contracts.

Ajay Agrawal, Founder and CEO of Sirion, emphasized the platform's role in enterprise operations. Under Haveli's ownership, Sirion could pursue acquisitions of other companies in the contract management sector. Haveli was founded by Brian Sheth, who previously served as president at Vista Equity Partners.
